Introduction

Welcome to the Somatic Reboot platform ("Site"). Please read the following terms and conditions of service ("Terms") carefully as they contain the legal terms and conditions of an agreement ("Agreement") that you agree to when you use the services provided through the Site, including the web application, mobile-optimized site, and all related services (collectively, the "Services").

By accessing or using any of the Services you agree to be bound by these Terms. For the purposes of this Agreement, "you" means you, the person using the Site, and, if applicable, the person that agrees to the Terms when registering for an account. "Somatic Reboot," "we," or "us" refers to the operator of the Somatic Reboot platform. In case of inconsistencies between these Terms and information on the Site, these Terms will always govern and take precedence.

The Site Does Not Provide Medical Advice

The information contained on the Somatic Reboot platform is intended for wellness and informational purposes only. The Site, including text, images, video, exercises, health assessments, and any other content (the "Content"), is not intended or implied to be a substitute for professional medical advice, diagnosis, or treatment.

You should not use any of the Content in place of a visit, call, consultation, or advice from a professional healthcare provider. Somatic Reboot is not liable or responsible for any advice, course of treatment, or diagnosis you may pursue based on information obtained through this Site. Never disregard professional medical advice or delay in seeking care because of something you have read, watched, or completed on this Site.

Reliance on any information provided on this Site, including health assessment scores, health metric tracking data, and coach communications, is solely at your own risk.

Health Coaching Services

Somatic Reboot connects you with health coaches who provide guidance on wellness activities, exercises, and health tracking. Please note that health coaches do not provide medical recommendations or diagnoses. Coaching interactions through the platform's messaging system are intended as an educational and wellness support service only and shall not be relied upon as a substitute for a physician's medical advice.

Be aware of the following:

• If you have unbearable pain for more than three days, consult a physician prior to participating in any Somatic Reboot program or activity.
• If your pain travels below your hips into your thighs, lower legs, or feet, consult a physician.
• If you are experiencing numbness or tingling in your pelvic region, thighs, or lower legs, consult a physician.
• If you have noticeable leg weakness associated with your pain, consult a physician.
• If you are experiencing bowel or bladder control issues since the onset of your pain, consult a physician.
• If you currently have a fever or any serious medical or physical illness, consult a physician.
• If you believe you have a medical emergency, call 911 or your physician immediately.

Health Assessments and Data

Somatic Reboot provides health assessments that generate scores based on your responses. These assessments cover areas such as pain levels, functional ability, sleep quality, stress, digestion, and other wellness categories. Assessment scores are intended for informational and tracking purposes only and do not constitute a medical diagnosis. Your health coach may review your assessment results and provide guidance, but this does not replace professional medical evaluation.

You may also track health metrics such as pain levels, mood, sleep quality, and other custom metrics defined by your coach. This data is stored securely and used to support your wellness journey. You are responsible for the accuracy of the health information you provide.

Account Registration and Security

To use the Services, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us if you believe your account has been compromised or accessed without your authorization.

You must be at least 18 years of age to create an account and use the Services.

Subscriptions, Payments, and Refunds

Somatic Reboot may offer paid subscriptions for access to its Services and content. Subscription terms, pricing, and billing frequency may vary depending on the plan selected at the time of purchase.

We use Stripe, a third-party payment processor, to collect and process all payments. Your payment information is handled directly by Stripe and is not stored on our servers. Payment processing is subject to Stripe's own terms and conditions.

All prepaid subscription fees are considered final and are not eligible for refund unless otherwise required by applicable law. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

Programs, Activities, and Content

The Services include access to exercise programs, wellness activities, educational articles, video demonstrations, and other health-related content created by coaches and the Somatic Reboot team. This content is provided for educational purposes. You should perform exercises and activities within your comfort level and stop immediately if you experience pain or discomfort beyond normal expectations.

Communication Services

Somatic Reboot provides real-time messaging between patients and coaches, email notifications, and optional SMS notifications. Messages exchanged through the platform are stored securely and are accessible to the participants in the conversation and authorized administrative personnel.

SMS Notifications

Somatic Reboot offers an optional SMS notification program that sends automated text messages to opted-in users, including appointment reminders, calendar event reminders, and assessment reminders.

• Opt-In: SMS notifications are disabled by default. You must explicitly enable them in your account settings. Consent is not a condition of purchasing any goods or services.
• Message Frequency: Up to 5 messages per day.
• Message and Data Rates: Message and data rates may apply. Contact your wireless carrier for details.
• Opt-Out: Reply STOP, CANCEL, UNSUBSCRIBE, QUIT, or END to any message, or disable SMS in your account settings.
• Help: Reply HELP for assistance, or contact support@somaticreboot.com.
• Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

Availability

Somatic Reboot uses reasonable efforts to ensure that the Services are available continuously. However, there will be occasions when the Services are interrupted for maintenance, upgrades, or emergency repairs. We will use reasonable commercial efforts to minimize such disruptions. You agree that we shall not be liable for any modification, suspension, or discontinuance of the Services.

Intellectual Property

You acknowledge and agree that the Site and all Content contained in it, including exercise videos, assessment templates, articles, programs, graphics, logos, and software, are owned by Somatic Reboot and/or its content providers and are protected by copyright and intellectual property laws. You may not modify, reproduce, distribute, create derivative works from, or exploit any Content without prior written permission.

Third-Party Services

The Services may integrate with or link to third-party services and websites. Your use of such services is subject to their respective terms and conditions. We do not control and are not responsible for the content, availability, or practices of third-party services, including payment processors, cloud hosting providers, or analytics services.

Privacy Policy

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information, including health data. By using the Services, you consent to the practices described in our Privacy Policy.

Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, without notice, for any reason, including but not limited to breach of these Terms or conduct that we believe is harmful to other users or our business. You agree that we shall not be liable to you or any third party for any termination of your access.

Disclaimer of Warranties

THE CONTENT, SERVICES, AND MATERIALS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATIONS THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. THE CONTENT AND SERVICES ARE DESIGNED TO SUPPLEMENT THE GUIDANCE OF YOUR HEALTH COACH AND ARE NOT INTENDED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTHCARE PROVIDER.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOMATIC REBOOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF REVENUE, LOST PROFITS, OR LOSS OF DATA ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICES, YOUR RELIANCE ON ANY CONTENT, OR YOUR HEALTH DECISIONS BASED ON INFORMATION OBTAINED THROUGH THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF SOMATIC REBOOT FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE THREE (3) MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Somatic Reboot and its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any claim or cause of action arising out of these Terms must be brought within one (1) year from the date the claim arose. All disputes shall first be submitted to mediation. If mediation is unsuccessful, the proper forum for litigation shall be the state and federal courts located in Denver County, Colorado. The prevailing party in any action shall be entitled to recover reasonable attorneys' fees.

Changes to These Terms

We may amend or update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Effective Date" above. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

General Provisions

No joint venture, partnership, employment, or agency relationship exists between you and Somatic Reboot as a result of this Agreement. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, governmental actions, or infrastructure failures. The failure to enforce any provision of this Agreement shall not constitute a waiver of such provision. If any provision is found to be invalid, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between you and Somatic Reboot regarding the use of the Services.
